Terms and Conditions

Wonder Club Online - General Terms for Partner Coaches

 

Introduction

By becoming a partner coach, you agree to the following terms. Please read them carefully.

 
Definitions
  • Service Provider: Wonder Club Online (3007227-5)
  • Producer: An individual or entity using the Wonder Club Online service to sell and distribute their dance courses.
  • Service: The provision of the Wonder Club Online platform and related services.
 
Purpose of the Coach Agreement

By signing the coach agreement, Producers are allowed to publish and sell their coaching programs on the Wonder Club Online platform. The programs must primarily be in Finnish or English.

 
Producer Responsibilities 
  1. Content Creation: Producers are primarily responsible for creating and uploading their coaching programs to the platform. Wonder Club Online can handle publication and uploading with a separate written agreement.
  2. Marketing: Producers must actively market their programs through their social media channels.
  3. Materials: Producers must provide all coaching-related materials according to the instructions provided.

 

Sale and Management of Coaching Programs
  1. Program Sales: By default, coaching programs will be available for continuous sale (start whenever you want) at the agreed time with the Producer.
  2. Pricing: The prices and release schedules of the coaching programs are always agreed separately via email with the Producer.
  3. Payments and Remittances: Producers are paid their sales commissions from their coaching programs every two months.

  

Responsibilities and Duties
  1. The Producer determines the name of the coaching program/course.
  2. The Producer records the videos and uploads the content according to separate instructions.
  3. Wonder Club Online creates the marketing materials (product page and promotional images).
  4. The Producer is primarily responsible for marketing their course.
  5. Wonder Club Online handles customer service and payment processing.
  6. Wonder Club Online is also responsible for data protection and GDPR, terms of use, privacy policies, and all other legal matters.
 
Commission Payments and Pricing
  1. Startup Costs: A startup fee of €500 (VAT 0%) will be charged to the Producer, covering recording, uploading, and marketing materials. This amount is deducted from the Producer's sales, and once the startup cost is covered, revenue sharing begins (see section 2).
    1. Special Note: For agreements made before September 1, 2024, the startup fee is only €200 (VAT 0%).
  2. Revenue Sharing: Producers receive 50% of the sales revenue from their coaching programs. Wonder Club Online retains 50%.
  3. Other Costs: Additional costs may arise in special circumstances if something deviates from the normal model. These are always agreed on a case-by-case basis.

 

Contract Duration and Termination 
  1. Contract Duration: The agreement is valid for 12 months from the date of signing and thereafter on a month-to-month basis.
  2. Termination: The Producer has the right to terminate the agreement with a 3-month notice period after the 12-month fixed term.
  3. Breach of Contract: If the Producer fails to provide the agreed materials or breaches the terms, Wonder Club Online may terminate the agreement and remove the Producer’s content from sale. 

 

Other Conditions
  • Usage Rights: The Producer owns the course materials they produce but may not sell the same program on another platform without the permission of Wonder Club Online.
  • Marketing Rights: Wonder Club Online may use the materials, images, and feedback from the coaching programs for marketing purposes.
  • Confidentiality: All information related to the agreement is confidential and must not be shared with third parties.
  • Campaigns: Wonder Club Online can independently conduct campaigns where courses/coaching programs are offered at a discount without separate permission from the Producer.
  • Course/Program Removal: Wonder Club Online may remove a product from sale if it does not achieve sufficient sales or is deemed a poor product by customers.
  • Customer Service and Support: Wonder Club Online handles customer service, technical support, and data protection.
  • Prepayment Register: The Producer must have a valid business ID and be registered in the prepayment register. Alternatively, light entrepreneurship is also accepted.
  • Content IPR: The Producer is responsible for ensuring they have the proper rights to the materials they use.
  • Marketing of Own Services: The Producer may not market their own services or products in connection with their course without the permission of Wonder Club Online.

 

By signing the coach agreement, the Producer accepts these terms.
